Terms of Service

IMPORTANT: Please read these Terms of Service carefully. They affect your legal rights, including limitations of liability and a binding arbitration provision with a class action waiver.

Among other things, Oat Meds' Services enable coordination and communication with independent licensed healthcare providers and partner pharmacies. Oat Meds is not a medical provider group or a pharmacy. The Services do not replace your relationship with any physician or other healthcare provider.

IF YOU THINK YOU MAY HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT USE THE SERVICES FOR EMERGENCY CARE.

Introduction

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services operated by Oat Meds LLC ("Oat Meds," "we," "us," or "our"), including oatmeds.com and any related domains or apps that link to these Terms (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Additional terms may apply to specific offerings (for example, our Refund Policy, Telehealth Informed Consent, and Notice of Privacy Practices). Those documents are incorporated by reference where applicable.

1. What Oat Meds Is (and Is Not)

Oat Meds operates a technology platform that facilitates relationships among patients, independent licensed healthcare providers, and licensed pharmacies so that you may request and, if appropriate, receive treatment and medication fulfillment.

Specifically:

  • Oat Meds is not a provider group. Clinical care is provided by independent licensed healthcare professionals associated with our contracted provider group, Beluga Health, P.A. ("Beluga"), and Beluga's providers (each a "Provider").
  • Oat Meds is not a pharmacy. Medications, when prescribed, are dispensed by licensed pharmacies, which may include FDA-registered 503A or 503B compounding pharmacies that we partner with (collectively, the "Pharmacy Network").
  • Oat Meds provides administrative, technology, payment, scheduling, and other supportive services that help you connect with Providers and pharmacies. Using the Services does not create a provider--patient relationship between you and Oat Meds.

Except for communications you receive directly from a Provider in connection with your care, content on the Services is for informational purposes only and is not medical advice.

2. Services Overview, Availability, and Eligibility

Overview

Depending on your location and the offering you select, the Services may include:

  • Educational information about health and wellness topics
  • Tools to complete intake questionnaires and request care
  • Technology that enables telehealth consultations with Providers
  • Collection and retention of health information for use in Provider consultations, communications, and pharmacy fulfillment
  • Administrative support for scheduling, payments, and order coordination
  • Coordination with partner pharmacies for prescription fulfillment when a Provider issues a prescription

Availability of any particular treatment, medication, pharmacy, Provider, or consultation type may vary by state and over time. Providers are licensed or otherwise authorized to provide care in the jurisdictions where they treat patients, and not every Provider is available in every jurisdiction. Completing an intake or paying a fee does not guarantee that a Provider will prescribe treatment or that medication will be dispensed.

Availability

The Services are intended for use by persons located in the United States, and only in states where the relevant Services are offered. We make no claim that the Services are appropriate or available outside the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local law.

Eligibility

By using the Services, you represent and warrant that:

  • You are at least 18 years of age (or the age of majority in your jurisdiction, if higher)
  • You are physically located in a U.S. state or the District of Columbia where the applicable Services are available, and you will accurately identify your physical location at the time healthcare Services are provided
  • You will provide accurate, complete, and current information
  • You agree to these Terms and all applicable additional consents

Meeting these requirements does not guarantee access to care. Providers and Oat Meds may impose additional requirements and may decline or discontinue Services at their discretion where permitted by law. A Provider may require an in-person evaluation, laboratory testing, photographs, updated questionnaires, additional records, or other information before initiating, continuing, or renewing treatment.

3. Telehealth Services

Telehealth involves delivering healthcare services using electronic communications between a patient and a Provider who are not in the same physical location. Telehealth through the Services may include chart review, remote prescribing (where clinically appropriate and lawful), messaging, scheduling, health information sharing, and related education.

Telehealth may involve:

  • Electronic transmission of medical records, images, lab results, or other data
  • Asynchronous communications and/or live audio or video interactions
  • Output from medical devices and other clinical information you provide

Electronic systems used in connection with the Services incorporate security measures designed to protect the confidentiality and integrity of health information. No electronic transmission can be guaranteed to be 100% secure.

By using the Services, you consent to receive disclosures, notices, messages, reports, and other communications from Oat Meds, Beluga, Providers, and Pharmacy Network partners electronically (including via your account, email, and, where you opt in, SMS). You are responsible for monitoring those communications. Failure to read or follow Provider recommendations is at your own risk. Platform messages are not intended for emergencies or urgent medical concerns and may not be reviewed immediately.

Please also review our Telehealth Informed Consent, including the state-specific notices and consents presented for applicable jurisdictions, and any additional Beluga consent presented during intake. Providers are an addition to---not a replacement for---your primary care provider. We strongly encourage you to maintain a relationship with a local primary care provider.

4. Your Relationship With Providers and Beluga

When you seek care through the Services, you are requesting clinical services from Beluga and its Providers, not from Oat Meds. The decision whether treatment is appropriate, what (if anything) to prescribe, whether to change a dose, whether to discontinue treatment, whether additional information or testing is required, and whether in-person care is appropriate rests with the Provider exercising independent professional judgment.

Oat Meds does not practice medicine, control clinical decision-making, or guarantee any particular clinical outcome. Telehealth is not appropriate for every condition, and a Provider may stop or decline a telehealth encounter and recommend or require in-person evaluation when clinically appropriate. Oat Meds does not warrant the training, skill, or quality of any Provider beyond limited steps we or our partners may take to confirm licensing where required. You are responsible for choosing whether to proceed with care through the Services.

You certify that you are physically located in the state or District of Columbia location you identify at the time healthcare Services are provided. Providers may rely on your location representation in determining whether they are legally authorized to provide care. Access to care may depend on that certification. If it is inaccurate, you agree to indemnify Oat Meds, Beluga, Providers, and Pharmacy Network partners from resulting claims to the fullest extent permitted by law.

5. Pharmacy and Compounded Medications

If a Provider issues a prescription, fulfillment may be coordinated through our Pharmacy Network, which may include licensed 503A compounding pharmacies and/or FDA-registered 503B outsourcing facilities, or through another pharmacy you designate when that option is available.

You authorize Oat Meds, Beluga, and Providers to share information reasonably necessary for pharmacy services---including your identity, contact and shipping information, prescription details, and related health information---with the dispensing pharmacy.

Important notes about compounded medications:

  • Compounded medications are prepared for individual patients based on a Provider's prescription and are not FDA-approved as finished drug products in the same way as commercially manufactured brand-name drugs.
  • Compounding pharmacies are subject to applicable federal and state requirements. Availability, formulation, and labeling may vary.
  • You should review all pharmacy labeling, counseling information, and safety materials provided with your medication, and contact your Provider or pharmacist with questions.

Oat Meds does not manufacture, compound, or dispense medications. Pharmacy Network participants may change from time to time based on state licensure, medication availability, operational considerations, and applicable law. Availability of compounded medications may change because of federal or state law, FDA action or guidance, pharmacy operations, supply conditions, or clinical considerations.

6. No Insurance; Financial Responsibility

Unless we expressly state otherwise for a specific offering, Services are generally offered on a cash-pay basis. Oat Meds, Beluga, and Providers may not be in-network with your insurance and may not submit claims on your behalf. You are solely responsible for the costs of Services and products you obtain through the platform.

If you are enrolled in Medicare, Medicaid, or another government healthcare program, you agree that neither you nor any party will submit a claim for reimbursement for Services obtained through this platform unless expressly permitted and arranged in writing for a specific product offering.

Payment terms, subscription renewals (if applicable), and refund eligibility are further described in our Refund Policy and at checkout. Payment or subscription renewal does not guarantee that a Provider will issue or renew a prescription.

7. Accounts and Security

You may need an account to use certain parts of the Services. You agree to:

  • Provide accurate registration information and keep it updated
  • Maintain the confidentiality of your login credentials
  • Notify us promptly at care@oatmeds.com of any unauthorized use or security breach
  • Use the Services only for yourself (or for a person for whom you have legal authority to act, where expressly permitted)

You are responsible for activity under your account. We may suspend or terminate accounts that appear inaccurate, fraudulent, abusive, or otherwise in violation of these Terms.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy. Information related to healthcare services may also be subject to our Notice of Privacy Practices and policies of Beluga and Pharmacy Network partners. Please review those documents carefully.

9. User Content

You may submit content through the Services (for example, questionnaire answers, messages, photos, or feedback) ("User Content"). You represent that you have the right to provide User Content and that it is accurate and lawful.

You grant Oat Meds a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, and display User Content as needed to operate, improve, and provide the Services, and as otherwise described in our Privacy Policy. Feedback you provide about the Services may be used by Oat Meds without restriction or compensation.

Do not submit content that is unlawful, infringing, defamatory, obscene, or that violates others' privacy or intellectual property rights.

10. Intellectual Property

The Services---including software, text, graphics, logos, and design---are owned by Oat Meds or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as expressly permitted by law or with our prior written consent.

Patient Responsibilities

When requesting or receiving healthcare Services, you agree to provide complete and accurate information reasonably requested by your Provider, including current medications, allergies, relevant diagnoses and medical history, pregnancy or breastfeeding status where clinically relevant, and material changes in your health. You agree to follow reasonable Provider instructions concerning monitoring, follow-up, laboratory testing, medication use, and in-person or emergency care.

Providers maintain medical records and related documentation as required by applicable law and professional standards. You may have rights to access or obtain copies of those records under applicable law and the Telehealth Informed Consent.

11. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Seek emergency or crisis care through the Services
  • Impersonate another person or misrepresent your identity, location, age, or health information
  • Attempt to gain unauthorized access to systems, accounts, or data
  • Interfere with or disrupt the Services, including via malware, scraping (except as allowed by robots.txt or written permission), or excessive automated requests
  • Use the Services to harass Providers, pharmacy staff, or Oat Meds personnel
  • Circumvent clinical, geographic, age, or payment restrictions

We may investigate suspected violations and take appropriate action, including suspension of access and referral to law enforcement.

12. Third-Party Services

The Services may link to or integrate with third-party sites, tools, payment processors, Providers, pharmacies, analytics providers, advertising and measurement providers, and other partners. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms and privacy policies.

13. Payments

You authorize Oat Meds (and our payment processors) to charge your designated payment method for amounts you incur, including treatment request fees, medication costs, shipping, taxes, and subscription charges where applicable. Prices and billing intervals will be disclosed at the time of purchase or in your account.

If a subscription or automatic renewal applies, you authorize recurring charges until you cancel in accordance with the cancellation instructions provided in the Services or by contacting care@oatmeds.com. Failure to pay may result in suspension of Services.

Refunds, if any, are governed by our Refund Policy.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OAT MEDS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, OAT MEDS DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY PARTICULAR TREATMENT OR MEDICATION WILL BE AVAILABLE, APPROPRIATE, OR EFFECTIVE FOR YOU; OR (C) ANY CONTENT ON THE SERVICES IS COMPLETE OR CURRENT.

Clinical services are provided by Beluga and its Providers. Pharmacy services are provided by independent pharmacies. Oat Meds is not responsible for clinical judgments, prescribing decisions, compounding, dispensing, shipping delays caused by pharmacies or carriers, or outcomes of treatment.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OAT MEDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OAT MEDS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to defend, indemnify, and hold harmless Oat Meds, Beluga, Providers, Pharmacy Network partners, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; (d) inaccurate information you provide (including location or health history); or (e) your misuse of medications obtained through the Services.

17. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnification, arbitration, and miscellaneous terms) will survive termination.

Termination of platform access does not automatically cancel ongoing clinical or pharmacy relationships; contact your Provider and care@oatmeds.com regarding care continuity and orders in progress.

18. Changes to These Terms and the Services

We may update these Terms from time to time. The "Last updated" date will reflect changes. Material changes may be communicated via the Services or email. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Services.

We may modify, suspend, or discontinue any part of the Services at any time.

19. Governing Law; Dispute Resolution; Arbitration; Class Waiver

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below.

Informal resolution. Before filing a claim, you agree to contact us at care@oatmeds.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. Except for disputes that qualify for small claims court or claims for injunctive relief regarding intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Miami-Dade County, Florida, unless you and Oat Meds agree otherwise or the AAA rules provide for a different location or remote proceeding. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND OAT MEDS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Opt-out. You may opt out of this arbitration agreement by emailing care@oatmeds.com within thirty (30) days of first accepting these Terms, with your name, the email associated with your account, and a clear statement that you opt out of arbitration.

If the arbitration agreement is found unenforceable as to a particular claim, that claim must be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction there.

Force Majeure

Oat Meds will not be liable for delays or failures to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet outages, cyberattacks, labor disputes, carrier delays, failures of third-party service providers, or other events beyond our reasonable control.

Electronic Records and Signatures

You agree that electronic records, notices, disclosures, signatures, and agreements satisfy any legal requirement that such communications be in writing.

20. Communications (Email and SMS)

By providing your contact information, you consent to receive service-related communications (for example, account, order, and care coordination messages). Marketing communications will be sent only where permitted by law and, for SMS, where you have provided appropriate consent. You may opt out of marketing emails via the unsubscribe link and opt out of SMS by following the instructions in the message (for example, replying STOP), though doing so may affect certain Service features.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the policies and consents incorporated by reference, constitute the entire agreement between you and Oat Meds regarding the Services and supersede prior agreements on that subject. If applicable state law provides a patient or consumer protection that cannot lawfully be waived or limited by these Terms, applicable state law controls to that extent.
